Agreements
BUSINESS ASSOCIATE AGREEMENT
This Business Associate Agreement (this “Agreement”) governs the disclosure of Protected Health Information by you (“Company”) to Suhavi Inc. (“Suhavi”) (each a “Party” and collectively the “Parties”).
1. Background and Purpose
The Parties have entered into an agreement that may require Suhavi to be provided with or have access to Protected Health Information (the “Suhavi Agreement”), that is subject to the administrative simplification section of the Health Insurance Portability and Accountability Act of 1996, Pub. Law 104-191 (Aug. 21, 1996), and its implementing regulations, the Health Information Technology for Economic and Clinical Health Act (“HITECH”) and its implementing regulations (collectively “HIPAA” or the “HIPAA Regulations”). This Agreement shall supplement and/or amend the Suhavi Agreement only with respect to Suhavi’s receipt, Use and Disclosure of PHI under the Suhavi Agreement to allow Company to comply with the HIPAA Regulations. Except as so supplemented and/or amended, the terms of the Suhavi Agreement shall continue unchanged and shall apply with full force and effect to govern the matters addressed in this Agreement and in the Suhavi Agreement.
2. Definitions
Unless otherwise defined in this Agreement, all capitalized terms used in this Agreement have the meanings ascribed in the HIPAA Regulations, provided, however, that “PHI” and “ePHI” shall mean Protected Health Information and Electronic Protected Health Information, respectively, as defined in 45 C.F.R. § 160.103, limited to the information Suhavi received from or on behalf of Company as Company’s vendor.
3. Obligations of the Parties with Respect to PHI
3.1 Obligations of Suhavi
With regard to its Use and/or Disclosure of PHI, Suhavi agrees to:
- Not Use or Disclose PHI other than as permitted or required by the Suhavi Agreement or this Agreement or as required by law.
- Use the same administrative, technical and physical safeguards to prevent Use or Disclosure of Confidential Information as we do for PHI.
- Report within a reasonable timeframe, not to exceed five (5) days to Company any Use or Disclosure of PHI that is neither permitted by this Agreement nor given prior express written approval by Company of which Suhavi becomes aware.
- In performing its obligations in connection with the Suhavi Agreement(s), Suhavi agrees to Use, Disclose and/or request only the minimum necessary PHI to accomplish the intended purpose of the Use, Disclosure or request unless otherwise required by law.
- Ensure that all subcontractors and agents to which Suhavi is permitted by this Agreement (or is otherwise permitted with Company’s prior express written approval) to provide PHI received from or on behalf of Company in connection with the Suhavi Agreement agree in writing to the restrictions and conditions that apply to the Suhavi under this Agreement with respect to such PHI under terms no less restrictive than those contained herein. Suhavi shall supply a copy of subcontractor and/or agent’s written agreement to Company upon written request. Suhavi is responsible for any subcontractor’s compliance with all provisions of HIPAA.
- Within ten (10) days of receiving a written request from Company, make available to Company PHI necessary for the relevant Covered Entities to respond to Individuals’ requests for access to PHI about them in the event that the PHI in Suhavi’s possession constitutes a Designated Record Set.
- Within ten (10) days of receiving a written request from Company, make available to Company PHI for amendment and incorporate any amendments to the PHI in accordance with the HIPAA Regulations in the event that the PHI in Suhavi’s possession constitutes a Designated Record Set.
- Within ten (10) days of receiving a written request from Company, make available to Company the information required for Company to provide an accounting of disclosures as required by the HIPAA Regulations.
- Within thirty (30) days of receiving a written notice from Company, return to Company or destroy all PHI, including such information in the possession of its subcontractors and/or agents, as a result of the Suhavi Agreement(s) at issue, and retain no copies, if it is feasible to do so. If Suhavi notifies Company that return or destruction is infeasible, and Company reasonably agrees with this determination, Suhavi agrees to extend all protections, limitations and restrictions contained in this Agreement to Suhavi’s Use and/or Disclosure of any retained PHI, and to limit further Uses and/or Disclosures to the purposes that make the return or destruction of the PHI infeasible. This provision shall survive the termination or expiration of this Agreement and/or any Suhavi Agreement(s).
- Mitigate or cause to be mitigated, to the extent practicable, any harmful effect that is known to Suhavi of a Use or Disclosure of PHI by Suhavi and/or its subcontractors and agents in violation of the requirements of this Agreement.
- Report within two (2) business days to Company any Security Incident of which Suhavi becomes aware.
- Upon Company’s request, provide, access to and copies of any policies and procedures developed or utilized by Suhavi regarding the protection of PHI.
3.2 Permitted Uses and Disclosures of PHI by Suhavi
Except as otherwise specified in this Agreement, Suhavi may Use and/or Disclosure PHI only as may be necessary to perform its obligations under the Suhavi Agreement (the “Services”). ALL OTHER USES AND/OR DISCLOSURES OF PHI, INCLUDING, BUT NOT LIMITED TO DE-IDENTIFICATION OF PHI, ARE PROHIBITED UNLESS EXPRESSLY PERMITTED IN WRITING BY COMPANY. Nothing in this Agreement shall be construed to prohibit Suhavi’s Disclosure to Company of PHI obtained from Company or created or obtained on behalf of Company, or to:
- Use the PHI in its possession for its proper management and administration and to carry out the legal responsibilities of Suhavi; or to;
- Disclose the PHI in its possession to a third party for the purpose of Suhavi’s proper management and administration or to carry out the legal responsibilities of Suhavi, provided that the Disclosures are Required by law or Suhavi obtains reasonable assurances from the third party regarding the confidential handling of such PHI as required under the HIPAA Regulations.
3.3 Notification, Consent and Authorization Obligations of Company
The Company shall: (a) provide Suhavi with the notice of privacy practices that the Company produces in accordance with the HIPAA Regulations, as well as any changes to such notice, if such changes affect Suhavi’s permitted or required uses and disclosures of the PHI; (b) provide Suhavi with any changes in, or revocation of, permission by an Individual to use or disclose PHI, if such changes affect Suhavi’s permitted or required uses and disclosures; (c) notify Suhavi of any restriction to the use or disclosure of PHI that the Company has agreed to in accordance with the HIPAA Regulations, to the extent that such restrictions may affect the Suhavi’s use or disclosure of PHI; and (d) not request Suhavi to use or disclose PHI in any manner that would not be permissible under the HIPAA Regulations if done by the Company, except as set forth in Section 3.2 (a) above.
Notwithstanding anything to the contrary in the Suhavi Agreement or in this Agreement, for the purposes of Suhavi’s compliance with its obligations under the Suhavi Agreement and this Agreement, to the extent required by law, the Company shall have obtained or obtain appropriate consent or authorization and be deemed to have consented to and authorized Suhavi (and its authorized subcontractors) to retain, store and transmit any PHI pursuant to the normal functioning of the Services, including but not limited to (i) all configuration, rules and policies executed at the Company’s direction; (ii) any email message headers or other messaging protocols that would transmit or route email to any Company-specified domains, MX records and destinations, any Company email addresses, domains, MX records or destinations, or any other recipient email address, MX record or domain specified as such in a given email message; and (iii) any requests by the Company or required hereunder for log, access, support-related or other transmissions under the Suhavi Agreement.
3.4 Effect of Changes to the HIPAA Regulations
To the extent that any relevant provision of the HIPAA Regulations is materially amended in a manner that changes the obligations of the Parties that are embodied in the terms of this Agreement, the Parties agree to negotiate in good faith appropriate amendment(s) to this Agreement to give effect to such revised obligations.
4. Term and Termination
4.1 Term
The term of this Agreement shall be effective as of the date set forth above in the first paragraph and shall terminate when all of the PHI provided by the Company to Suhavi, or created or received by Suhavi on behalf of the Company, is destroyed or returned to the Company, or, if it is infeasible to return or destroy PHI, protections are extended to such information, in accordance with the termination provisions in this Section.
4.2 Termination for Cause
Upon the Company’s knowledge of a material breach of this Agreement by Suhavi, the Company shall provide an opportunity for Suhavi to cure the breach or end the violation. The Company may terminate this Agreement and the Suhavi Agreement if the Suhavi does not cure the breach or end the violation within the time specified by the Company, or immediately terminate this Agreement if cure is not possible. If neither termination nor cure is feasible, the Company shall report the breach or violation to the Secretary.
4.3 Effect of Termination
(a) Return or Destruction of PHI
Except as provided in Section 4.3(b), upon termination of this Agreement, for any reason, Suhavi shall return or destroy all PHI received from the Company, or created or received by Suhavi on behalf of the Company. This provision shall apply to PHI that is in the possession of subcontractors or agents of Suhavi. Suhavi shall retain no copies of PHI.
(b) Return or Destruction of PHI Infeasible
In the event that Suhavi determines that returning or destroying PHI is infeasible, Suhavi shall provide to the Company notification of the conditions that make return or destruction infeasible. Upon mutual agreement of the parties that return or destruction of the PHI is infeasible, Suhavi shall extend the protections of this Agreement to such PHI and limit further uses and disclosures of such PHI to those purposes that make the return or destruction infeasible, for so long as Suhavi maintains such PHI.
5. Miscellaneous
5.1 Interpretation
The terms of this Agreement shall prevail in the case of any conflict with the terms of any Suhavi Agreement(s). Any ambiguity in this Agreement shall be resolved in favor of a meaning that permits Company to comply with applicable laws protecting the privacy, security and confidentiality of the PHI.
5.2 Disclaimer
A Party makes no warranty or representation that compliance by the other Party with this Agreement, HIPAA or the HIPAA Regulations will be adequate or satisfactory for such Party’s own purposes. Each Party is solely responsible for all decisions made by it regarding its safeguarding of PHI.
5.3 Survival
Notwithstanding any other provision of this Agreement to the contrary, the terms of sections 1, 2, 3.1 and 5 of this Agreement shall survive termination of this Agreement and continue indefinitely solely with respect to PHI Suhavi retains in accordance with this Agreement.
5.4 Regulatory References
A reference in this Agreement to the HIPAA Regulations or a section in the HIPAA Regulations means that section as in effect or as amended.
5.5 No Third Party Beneficiaries
Nothing in this Agreement shall confer upon any person other than the Parties and their respective successors or assigns, any rights, remedies, obligations, or liabilities whatsoever.
5.6 Governing Law
This Agreement shall be construed in accordance with the laws of the State of California.
